Article I Definitions 
Section 1. "Association" and/or "FLPOA" shall mean and refer to the Forest Lakes Property Owners Association, Inc., a non-profit corporation organized and existing under the laws of the State of Texas. 
Section 2. "The Properties" shall mean and refer to those properties as set forth and described in the Warrant Deed records # 762, Volume 283, Page 723 on file at the County Clerk's office in Bastrop County that describes the 164.06 acres known as the Forest Lakes Subdivision. 
Section 3. "FLPOA Land" shall mean and refer to such part of the property as herein described as may, at any time hereafter be owned by the association for so long as the Association (or any successor Corporation) may be the owner thereof. 
Section 4. "The restrictions" shall mean and refer to the Agreement of Restrictions, Uses and Covenants to which the properties are or will be subjected and which are recorded in Deed records # 762, Volume 283, Page 723 on file at the County Clerk's office in Bastrop County that describes the 164.06 acres known as the Forest Lakes Subdivision. 
Section 5. "Member in Good Standing" shall mean and refer to any member of the Association, whose membership rights are not currently suspended for any reason. 
Section 6. "Voting Rights" shall mean and refer to the rights of members to vote on any matter presented to the membership of the Association for a vote. 
Article II Membership 
Section 1. Membership shall be determined by ownership of property in the Forest Lakes Subdivision as of January 1997. 
Section 2. All rights and privileges of membership, shall be subject to the payment of annual charges levied by the Association, Under the Authority of the Bylaws, Article IV. Article III Voting Rights Section 1. No member shall be entitled to vote on any matter before the Association unless they are currently in payment of the annual charges levied by the Association or if they have been notified in writing that they are in violation of the Deed Restrictions. 
Section 2. Each member will have one (1) vote regardless of number of properties owned. 
Article IV Annual Charges 
Section 1. Each property owner shall pay $10 annually for membership dues. Property owners of multiple lots will be subject to only one annual assessment. Annual charges will begin in January 1997. 
Section 2. Payment of annual charges will be used to determine if members are in good standing. 
Article V Board of Directors 
Section 1. The Association shall be governed by a Board of Directors (herein called "Board") as provided by these Bylaws. 
Section 2. There will be a minimum 5 (five) board members. 
Section 3. Vacancies in the Board shall be filled by affirmative vote of a majority of eligible voters present in person or by proxy at:  
1) The annual meeting of the Association  
2) Any special meeting. 
Section 4. No member shall be eligible to be elected to or to continue to serve on, the Board unless they are a member in good standing of the Association as defined by these Bylaws. 
Section 5. Any Director may be removed from office as provided in Article VII by a majority vote of eligible voters present in person or by proxy at:  
1) The annual meeting of the Association  
2) Any special meeting. 
Article VI Election of Directors  
Section 1. The election of the Board of Directors shall be determined by majority vote of the eligible voters present in person or by proxy at the annual meeting of the Association. 
Section 2. The Secretary and Treasurer of the Association shall prepare a list of eligible voters. 
Article VII Powers and Duties of the Board of Directors 
Section 1. The Board shall have the power (a) to call special meetings of the members whenever it deems it necessary and shall call a meeting at any time by request of five or more of members eligible to vote; (b) adopt and publish rules and regulations governing the use of FLPOA community land and the personal conduct of the members and their guests thereon; (c) to exercise for the Association all powers, duties and authority vested in or delegated to this Association, except for those reserved to the members; (d) in the event any member of the Board of this Association shall be absent on three (3) consecutive regular meetings of the Board, by action taken at the meeting in which third absence occurs, to declare the office of said absent Director to be vacant. 
Section 2. It shall be the duty of the Board (a) to cause to be kept a complete record of all its acts and corporate affairs. (b) to supervise all officers and to see that their duties are properly performed; (c) to change the amount of annual charges; (d) prepare a roster of the properties and the annual charges applicable thereto which shall be open to any member in good standing; (e) to send notice of written assessment to every owner subject thereto; (f) to issue a certificate setting forth whether any annual charge has been paid 
Article VIII Directors Meetings 
Section 1. Special meetings can be called by two or more Directors without requirement for advanced notice. Action taken at the meeting shall be effective except as noted in Section 3 below. 
Section 2. The transaction of any business at any meeting of the Board shall be valid if  
1) a quorum is present  
2) minutes of the meeting are recorded. 
Section 3. The majority of the Board shall constitute a quorum. 
Article IX Officers 
Section 1. The officers shall be a President, Vice President, Secretary and Treasurer. The President and Vice President shall be members of the Board of Directors. The Board may, in its sole discretion, elect not to appoint officers and to function by virtue of unanimous consent of the Directors. 
Section 2. At the first meeting of the Board immediately following the annual meeting of the Members, the Board shall elect one of its Members to act as President, Vice President, Secretary and Treasurer. 
Section 3. All officers shall be elected for a term of one (1) year. Section 4. The President shall preside at all meetings of the Board, see that orders and resolutions of the Board are carried out, and sign all notes, mortgages, deeds are other written instruments as directed by the Board. 
Section 5. The Vice President shall perform all duties of the President in his absence. 
Section 6. The Secretary of the Association shall have the following duties:  
1) Keep the minutes of the Association in a book to be kept for that purpose.  
2) Record the votes and other actions of the Board  
3) Keep all records of the Association  
4) Record in a book kept for that purpose the names of all members of the Association together with their addresses as registered by such members. 
Section 7. The Treasurer shall receive and deposit in appropriate bank accounts all monies of the association and shall disburse such funds as directed by a resolution of the Board. 
Article X Meetings of Members 
Section 1. The regular annual meeting of the membership shall be held in the month of July at the time and address specified in the notice of the meeting which shall be delivered or mailed to the members. A proposed agenda will also be included. 
Section 2. Special meetings of the members for any purpose may be called by the President, the Vice President or by any three (3) or more members of the Board or upon written request of five (5) of the members who are eligible to vote. 
Section 3. Notice of special meetings shall be given to members of the Association by mailing or delivering the notice. Notice of the meeting shall be made within at least ten (10) and no more than (50) days in advance of the meeting. The agenda shall accompany the notification. No matter, which does not appear on the agenda, shall be addressed in any special meeting. 
Section 4. At any membership meeting the presence, whether in person or by proxy, of members eligible to vote shall be at least ten percent (10%) of the total eligible votes shall constitute a quorum for the transaction of business. All proxies shall be in writing and shall be filed with the Secretary of the Association prior to the commencement of the meeting by the member granting the proxy. 
Section 5. The Secretary of the Association shall have a list of all eligible voters and all duly registered proxies available at all meetings of the Association. 
Article XI Proxies 
Section 1. At all Association meetings of members each member in good standing may vote in person or by proxy. 
Section 2. All Proxies shall be in writing and shall be filed with the Secretary as stated in Article X above. No proxy shall extend beyond the period of eleven (11) months, and every proxy shall automatically cease upon the conveyance by the member of their interest in the properties. 
Section 3. There shall be no proxies in the vote for the Board of Directors. Each member will receive a ballot and must return their ballot to the Election Judge if they wish to have their vote counted. 
Article XII Books and Papers 
Section 1. The books, records and papers of the Association shall at all times be available for inspection by any member in good standing. 
Article XIII Amendments 
Section 1. These Bylaws may be amended by a majority vote of members present in person or by proxy at:  
1) the annual meeting of the Association  
2) any special meeting but only if notice of a proposal to amend these bylaws and a copy of the proposed amendment(s) accompany the notice of the meeting required in Article X of these Bylaws. 
We the undersigned Directors of Forest Lakes Property Owners Association do hereby certify that the foregoing Bylaws are correct and that the same have been duly adopted by the said Association at a meeting of the Board of Directors of this Association held in Bastrop County, Texas a 7:15 PM on the 28 day of July, 1996
